Skyworks Solutions has launched exchange offers and consent solicitations to swap Qorvo's outstanding senior notes (4.375% due 2029, up to $850M; 3.375% due 2031, up to $700M) for equivalent new Skyworks-issued notes, in connection with its pending acquisition of Qorvo. The exchange offers are contingent on the closing of the merger in which Qorvo will merge into a Skyworks subsidiary. This is a standard debt-management step ahead of a confirmed M&A transaction close.
